Terms of Service

These terms apply to your use of this website and to the purchase of any ApproveTrail package.

About these terms

This website is operated by Tilak Giri, trading as ApproveTrail, an independent sole trader with a registered business address at 72 Highcross Street, Leicester, LE1 4NN, United Kingdom. By using this website or purchasing a package you agree to these terms.

You can contact us at hello@approvetrail.co.uk or +44 7350 230388.

What we supply

ApproveTrail supplies digital document-review and approval-management software, delivered as one of seven one-time packages priced between £55 and £695, together with related setup information according to the package purchased.

Each package description on the Pricing page states its permitted-user limit, active-review limit, document-record limit and support level. These limits form part of the contract between us.

Payment

All prices are shown in GBP and are one-time payments. Packages do not renew automatically and no recurring subscription is created.

Payment is taken through Stripe's embedded payment interface on this website. Prices and product identifiers are set on our server; the browser never determines the amount charged.

A purchase is confirmed only once payment has been verified with Stripe.

Digital delivery and customer email accuracy

Digital access and setup information are delivered by email to the address you enter at checkout after payment has been confirmed. You are responsible for entering a correct, monitored email address; we are not liable for access failing to arrive because an incorrect or mistyped address was provided.

You are responsible for checking your inbox and spam folder and for contacting us promptly if access does not arrive.

Permitted users, active reviews and document records

Each package permits a stated number of users, active reviews and document records, as set out on the Pricing page at the time of purchase. Access, review activity or document storage beyond those limits is not included and may require an upgrade or a separate quotation.

Additional users or additional capacity beyond a package's stated limit can be requested at any time and will be quoted separately or offered as an upgrade to a higher package.

Customer responsibilities

You are responsible for the accuracy of information you enter into the software, for managing who within your organisation is given access as a permitted user, and for keeping your account access details secure.

You are responsible for backing up documents and approval records important to your business, in addition to relying on the software.

Upgrades and custom configuration

You may upgrade from one package to a higher package at any time; an upgrade is charged as the price difference or as a new one-time purchase, as stated at the time of upgrade.

Where a package includes custom configuration or initial setup assistance, the scope of that assistance is limited to configuring the software features included in the package, not to bespoke software development.

Compatibility and support

The software is provided as a web-based service and is expected to work with current, widely-used browsers. We do not guarantee compatibility with unsupported or outdated browsers or devices.

Support is provided by email at the level stated for your package, as described in the Software Access Policy. Support covers use of the delivered software and its included features; it does not include legal advice, document certification or bespoke development.

Intellectual property, licence and permitted use

The software, website content, workflow templates and documentation remain the intellectual property of ApproveTrail. You receive a non-exclusive, non-transferable licence to use them for your own business, within the permitted-user limit of your package.

Documents and approval records you create or upload using the software remain yours.

Document and reviewer responsibility

You remain solely responsible for the accuracy, legal effect and suitability of any document submitted for review or approval through the software, and for the decisions any reviewer or approver makes. ApproveTrail organises the review and approval workflow; it does not check, certify, endorse or take responsibility for document content.

You are responsible for ensuring that the individuals you invite as reviewers are authorised to review and approve the documents assigned to them.

Unauthorised sharing, resale and prohibited use

Access must not be shared beyond the permitted-user limit of your package, resold, sublicensed or redistributed. Use of the software must comply with the Acceptable Use Policy at all times; access may be suspended where that policy is breached.

Third-party services

The software relies on third-party infrastructure, including payment processing by Stripe and hosting and email delivery providers. We are not responsible for outages or faults caused solely by those third-party services, though we will assist in resolving any impact on you where reasonably possible.

Service changes

Package contents may be improved over time. Where a change materially reduces what a package includes, existing customers retain what they purchased.

Refunds

Refunds are handled in accordance with the Refund Policy, which explains eligibility, the request process and how statutory cancellation rights for digital content apply.

Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under UK law.

Subject to the above, our total liability arising from a package is limited to the amount you paid for that package. We are not liable for indirect or consequential loss, loss of profit, loss of business or loss arising from decisions made using approvals recorded in the software.

No legal advice

ApproveTrail is a workflow and approval-management tool. It does not provide legal advice, document certification, electronic-signature certification, regulated compliance services or any other professional legal service. You should seek independent professional advice before relying on ApproveTrail for any document requiring legal, regulatory or compliance sign-off.

Force majeure

We are not liable for delay or failure to perform caused by events outside our reasonable control, including internet or hosting outages, third-party service failures, industrial action or events of a similar nature. Obligations resume once the event has ended.

Complaints and governing law

Complaints are handled under the Complaints procedure published on this website.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, you have statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, which are unaffected by these terms.
